TERMS & CONDITIONS (Marketplace + User Policy Guide)

1. Introduction & Acceptance
1.1. Vhumi is an online e-commerce marketplace that connects buyers and Sellers in agriculture, food and allied industries. These Terms & Conditions (“Terms”) govern your use of the platform.
1.2. A social/business classifieds platform, where independent users and vendors can list their products or services and connect with buyers directly
1.3. By registering or using the platform, you accept and agree to comply with these Terms and all related policies (Privacy Policy, Vendor Policy, Returns Policy, etc.). If you do not accept these Terms, do not use Vhumi.
2. Nature & Scope of Service
2.1. Marketplace Role: Vhumi provides a digital platform for listing, marketing and connecting buyers with Sellers & services. Vhumi does not itself (unless explicitly stated) manufacture, package, store, or deliver products.
2.2. Intermediary Status: Vhumi acts as an intermediary under applicable Indian law (e.g., Information Technology Act and E-commerce Rules). Vendor obligations, product quality, delivery and compliance are the responsibility of the Seller unless otherwise agreed in writing.
2.3. Compliances: All items are sold by independent vendors who are responsible for compliance with applicable laws, including FSSAI, Weights & Measures, and other regulatory norms
3. Seller Onboarding & Eligibility
3.1. Only registered businesses/individuals meeting the requirements below may sell on Vhumi. Sellers must complete the onboarding process and pass verification before listing products for sale.
3.2. Required (minimum) Onboarding Documents:
- Scanned Government photo ID (PAN and/or Aadhaar).
- Business registration (GSTIN / trade license / MSME certificate / company incorporation).
- Official business address proof.
- If applicable, FSSAI license/registration, and other product-specific licenses (see Vendor Policy Guide).
3.3. No-document Listing Mode: Sellers who register but do not provide required documents may use Vhumi only to upload content (images/videos) as social media–style posts — they cannot list products for sale until verification completes.
4. GPS-Stamped Media (Authenticity Requirement)
4.1. For each product listing (especially perishable/food, seeds, livestock, or bulk agricultural goods) Sellers must upload **GPS-stamped images/videos** showing: (a) the product, (b) the farm/processing site/packaging, and (c) the label/packing if available.
4.2. Acceptable Formats & Rules:
- Media must retain **EXIF metadata** including GPS coordinates and timestamp OR be captured via the official **VHUMI CAM mobile app** which embeds verified GPS & timestamp.
- Media age: images/videos must be recent (generally within the last **30 days**).
- Minimum media: **3 images** (field/stock, close product shot, packaging/label). Optional short video (10–60s) encouraged.
4.3. Vhumi reserves the right to reject listings that lack valid GPS/timestamp metadata or which show signs of manipulation.
5. Product Listings & Mandatory Information
5.1. Every product must include: product name, variety/grade, net weight/pack size, origin/farm location (state/district), price (GST inclusive or exclusive clearly shown), seller details, FSSAI (if food), stock quantity, packaging info, minimum order quantity (if any), lead time for dispatch, return policy, and GPS-stamped images/videos.
5.2. Sellers must not post misleading claims (health claims, certification claims) unless backed by supporting documents.
6. Pricing, Payment & Invoicing
6.1. Sellers set their prices and are responsible for **GST invoicing, taxation and compliance**. All taxes (GST etc.) must be clearly displayed on the invoice.
6.2. Payment Flows: Vhumi may offer integrated payment gateways. Where Vhumi processes payments, settlement terms are governed by a separate agreement. Otherwise, Buyers and Sellers may agree on payment methods (UPI, bank transfer, COD).
6.3. Sellers must provide valid GST invoices and bank details to facilitate settlements and audits.
7. Delivery, Logistics & Packaging
7.1. **Sellers are responsible for fulfilling orders**, including packing, labeling, documentation and dispatch, unless otherwise stated. Sellers may use third-party logistics providers available on Vhumi.
7.2. Sellers must ensure packaging is suitable for the product type (especially perishable goods) and meets **statutory labeling requirements** (FSSAI labeling for packaged food).
7.3. Delivery timelines and charges must be disclosed on the product page.
8. Returns, Refunds & Disputes
8.1. Sellers must have a clear returns & refunds policy that is visible on each product page. For food and perishable items, allow Buyers to raise claims for defective/expired/damaged goods within the Seller’s specified claim window.
8.2. Vhumi will **mediate buyer–seller disputes** but is not liable for Seller decisions. Vhumi may, at its discretion, temporarily hold disputed payments pending investigation when using integrated gateway services.
9. Quality, Safety & Compliance (Seller Obligations)
9.1. Sellers guarantee product quality and legality. Sellers dealing in food must comply with **FSSAI labeling, packaging and hygiene norms.**
9.2. Sellers dealing in regulated categories must hold the relevant approvals: seeds, fertilizers, pesticides, veterinary products, livestock, imports/exports (IEC), etc. (See Vendor Policy Guide).
9.3. Sellers must maintain **traceability records** (procurement, batch, harvest dates, processing records) and provide them to Vhumi or authorities on request.
10. Vendor Policy Guide — Documents Required
Sellers must upload the documents listed for their business type during onboarding. Vhumi’s verification team will validate documents. Additional documents may be required per product or regulatory changes.

Note: This list covers commonly required documents. Local/state/national laws may demand additional paperwork. Vhumi may request further verification items.
11. Verification Process & Timeframes
11.1. After Seller submits documents, Vhumi will verify within **3–7 business days**. Complex cases (imports, new categories) may take longer.
11.2. If documents are incomplete/invalid, the Seller will be notified and given **7 calendar days** to resubmit. Until verification is complete, product listings are disabled for sale.
11.3. Vhumi reserves the right to perform random audits and request additional records (traceability, invoices, lab test reports).
12. Prohibited Conduct & Delisting
12.1. Prohibited acts include: listing **counterfeit or adulterated goods**, false claims, selling banned pesticides/chemicals, manipulating GPS/media, not providing required documents, and persistent negative buyer feedback.
12.2. Violations may result in warnings, temporary suspension, delisting, withholding of payouts, and legal referral. Vhumi may **permanently ban sellers** for severe violations.
13. Data Privacy & Security
13.1. Vhumi’s Privacy Policy explains data collection, storage, usage and user rights. Sellers consent to Vhumi storing their documents & transaction records for compliance and audit.
13.2. Vhumi will implement reasonable technical and organizational measures to protect data, but sellers must also maintain secure credentials.
14. Intellectual Property
14.1. Sellers warrant they own or are licensed to use all media (images/videos/logos) and content uploaded. Vhumi may remove content that infringes third-party IP on notice.
15. Indemnity & Limitation of Liability
15.1. Sellers indemnify Vhumi against claims arising from product defects, legal non-compliance, false claims, or buyer disputes.
15.2. Vhumi’s total liability for any claim is limited to amounts actually received by Vhumi from that transaction in the prior 12 months (to the extent permitted by law). Vhumi is not liable for indirect or consequential damages.
16. Grievance Redressal & Contact
16.1. Grievance Officer: Sayantan Sinha — vhumi.admin@vhumi.in | +91 9007167781. Complaints will be acknowledged within 48 hours and addressed per Consumer Protection (E-commerce) Rules.
16.2. Seller support: vendors may use in-dashboard support ticketing or email for onboarding & compliance queries.
17. Amendments to Terms
17.1. Vhumi may update these Terms. Changes will be posted on the website and notified to sellers. Continued use constitutes acceptance.
18. Governing Law & Dispute Resolution
18.1. These Terms are governed by the laws of India. Parties agree to attempt mutual resolution; unresolved disputes may be referred to courts in Kolkata (or as required by applicable law).
19. Annex — Quick Onboarding Checklist (Step-by-Step for Sellers)
- Step 1 — Register: Create account, enter business details.
- Step 2 — Upload docs: Provide baseline documents (see Section 3 & Vendor Guide).
- Step 3 — Verification: Wait 3–7 business days for verification.
- Step 4 — List products: After approval, create product SKUs with full info & pricing.
- Step 5 — Submit GPS media: Attach required EXIF-tagged images / VHUMI CAM media
- Step 6 — Fulfill orders: Accept orders, dispatch, and upload delivery & VHUMI CAM images if required.
- Step 7 — Maintain records: Keep invoices, traceability and compliance records for audits.
20. Buyer Guidence
20.1. Buyers must create an account to make purchases or send enquiries.
20.2. You are responsible for maintaining the confidentiality of your login details and any activity under your account..
21.3. VHUMI.IN reserves the right to suspend or terminate accounts for misuse, fraud, or violation of these Terms.
21. Platform-Managed Orders
21.1. Buyers can place orders and make payments directly through VHUMI.IN.
21.2. Payments are processed by BGS Group, the parent organization managing the platform.
21.3. VHUMI.IN will coordinate with the respective vendor(s) to ensure delivery, logistics, and customer service.
21.3. In this mode, VHUMI.IN assumes responsibility for order fulfillment and payment protection.
22. Direct Buyer to Seller orders
22.1. Buyers may contact vendors directly using the contact information provided in the listings.
22.2. These transactions occur outside the VHUMI.IN system & VHUMI.IN does not manage payment, delivery, or any aspect of such transactions
22.3. Buyers are solely responsible for verifying product quality, pricing, authenticity, and the seller’s credentials.
22.4. VHUMI.IN is not liable for any loss, fraud, misrepresentation, or dispute arising from direct buyer-seller interactions.
23. FSSAI Compliance
23.1. VHUMI.IN is registered and compliant with FSSAI regulations as an e-commerce food business operator.
23.2. All vendors listing food or edible items for direct sale through the Platform are required to hold valid FSSAI licenses
23.3. Vendors without valid licenses may still post content, product photos, or service details under the social/classified category but cannot offer direct checkout-based sales.
23.4. Buyers are encouraged to verify vendor FSSAI license details before purchasing directly.
24. Payments & Refunds
24.1. All payments for orders placed directly through VHUMI.IN are collected by BGS Group on behalf of the vendor.
24.2. Refunds (if applicable) will be processed according to the platform’s refund policy.
24.3. For direct buyer-seller transactions made outside the platform, VHUMI.IN has no role in payments or refunds.
25. Product Quality & Liability
25.1. Product descriptions, images, pricing, and claims are provided by vendors.
25.2. VHUMI.IN makes reasonable efforts to ensure accuracy but does not guarantee or warrant product quality, shelf life, or suitability.
25.3. For platform-managed orders, VHUMI.IN ensures replacement or refund as per policy in case of non-delivery or damaged goods.
25.4. For direct transactions, the buyer assumes full responsibility.
26. Prohibited Conduct By Buyers
26.1. Buyers shall not Use VHUMI.IN for unlawful, misleading, or fraudulent activities.
26.2. Buyers shall not Circumvent platform systems to manipulate pricing or listings.
26.3. Buyers shall not Harass or abuse other users, vendors, or VHUMI.IN representatives.
26.4. Buyers shall not Post fake reviews or engage in coordinated manipulation.
27. Dispute Resolution
27.1. For platform-managed orders, disputes shall be addressed through VHUMI.IN customer support.
27.2. For direct transactions, buyers must resolve disputes directly with the vendor.
27.3. In case of unresolved issues, legal jurisdiction will be South 24 Parganas, West Bengal, India
27.4. Buyers shall not Post fake reviews or engage in coordinated manipulation.
28. Amendments
28.1. VHUMI.IN reserves the right to modify these Terms at any time. Updated versions will be posted on this page with the date of revision.
